Terms of Use for Future Me Application

Effective Date: December 9^th, 2024.

The Future Me application (referred to as "the App") is an educational platform owned and operated by FIL Inc. ("we" or "us"). By accessing and using the App, you agree to comply with these Terms of Use. Please read these terms carefully.

1. Acceptance of Terms of Use

Your access to and use of the Future Me application (hereinafter referred to as "the App") are governed by these Terms of Use ("Terms"). By downloading, accessing, or using the App, you confirm that you have read, understood, and agree to be bound by these Terms and comply with all applicable laws and regulations.

If you do not agree to these Terms, in whole or in part, you are not permitted to use the App.

We reserve the right to revise these Terms at any time at our sole discretion. Any updates or modifications will be effective immediately upon being posted on the App or communicated to you. It is your responsibility to periodically review these Terms to stay informed about any changes. Your continued use of the App after such updates constitutes your acceptance of the revised Terms.

2. Intended Use of the App

The App and its content are for personal, non-commercial use only. You are not permitted to use the App or its content for any commercial activities.

3. Content and Intellectual Property Ownership; Conditional Use of Content

All content and materials on the App, including but not limited to artwork, graphics, photographs, texts, videos, audio clips, trademarks, and logos (collectively referred to as "Content"), are owned or licensed by FIL Inc., the developer of the "Future Me" app, and/or its affiliates.

You may access and use the App and the Content solely for personal, non-commercial purposes. Any reproduction, reuse, retransmission, adaptation, publication, distribution, or derivative works of the Content in any way, including for public or commercial purposes, without prior written consent from FIL Inc. or the owner of such materials, is strictly prohibited.

All rights not expressly granted under these Terms of Use are reserved by FIL Inc.. The trademarks, trade names, and logos, as well as all product names, design marks, and slogans appearing on the App, are the trademarks (registered or unregistered) of FIL Inc., its affiliates, and/or its licensors, unless otherwise noted. FIL Inc. expressly reserves all intellectual property rights in the Content of the App.

No license is granted to users for any of the Content on Future Me. FIL Inc. or its licensors may seek to enforce their intellectual property rights to the fullest extent permitted by law, including pursuing criminal prosecution if necessary.

4. User Conduct / Acceptable Use Policy

The Future Me app may provide opportunities for users to share information and materials. You understand that content shared on the app does not necessarily reflect the opinions or values of FIL Inc., the developer of Future Me. We expect all users to engage respectfully with others. If you become aware of any violation of this Acceptable Use Policy or other inappropriate conduct by another user, please contact us and report the issue using the information provided in Section 13.

You are solely responsible for any information or content you submit to the app.

Prohibited Activities:

You agree not to upload, post, or share content that:

• Is defamatory, abusive, obscene, profane, scandalous, inflammatory, pornographic, indecent, or offensive.
• Infringes on another party's intellectual property rights, including but not limited to music, videos, photos, or other materials for which you do not have written permission from the owner.
• Violates any individual’s rights to publicity or privacy.
• Is threatening, harassing, or promotes bullying, racism, discrimination, bigotry, hatred, or physical harm against any group or individual.
• Is inaccurate, false, or misleading in any way.
• Is illegal or directly or indirectly promotes illegal activities.
• Encourages or facilitates unauthorized copying of copyrighted work, links to such work, or provides information to bypass security measures.
• Contains masked profanity (e.g., F@).
• Includes software viruses, malicious codes, or any programs designed to interrupt, destroy, or limit the functionality of computer systems or networks.
• Contains advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or other solicitation forms.

Monitoring and Moderation:

We reserve the right, at our sole discretion, to review, edit, or delete any content or materials you or other users post on the app. This action is final and cannot be contested.

When using Future Me, you may encounter content from various sources. FIL Inc. is not responsible for the accuracy, appropriateness, safety, or intellectual property rights of or related to such content.

Automated Tools and Unauthorized Use:

You are prohibited from using spiders, robots, data mining tools, or other automated systems to catalog, download, reproduce, store, or distribute any content available on the app. Similarly, you may not use automated means to manipulate the app or attempt to exceed the permissions granted under these Terms of Use.

You are not authorized to resell access to or use of the app to any third party.

5. Ownership of Material You Send, Post, Submit, or Transmit; Right of Use; Submissions

The Future Me app may include features that allow you to upload, share, send, post, submit, or transmit comments, photos, videos, music, or other materials (collectively referred to as "User Generated Content").

By posting or submitting any content to the app, you acknowledge and agree that such content is deemed non-confidential and non-proprietary. FIL Inc. reserves the right to use, copy, modify, distribute, or display such content in any manner without further notice or compensation to you.

6. Privacy

The privacy of your personally identifiable information is of utmost importance to us. For details about the information we collect, how it is collected, used, disclosed, and managed, please refer to our Privacy Policy, which governs your use of the Future Me app.

7. Sharing of Information

The Future Me app does not share, sell, or rent personally identifiable information to independent companies for their own use without providing you with an explicit choice.

Any personally identifiable information provided during your use of the app, such as when accessing features or requesting services, may be collected and stored securely in our databases. FIL Inc. may share this information with its affiliated companies as part of regular business operations to provide services and enhance user experience.

Subcontractors, such as cloud service providers, may also receive your information for the sole purpose of supporting FIL Inc. in delivering app-related services. These subcontractors are strictly prohibited from using the data for other purposes or sharing it further.

Aggregate metrics from the app may be shared with affiliates or subsidiaries for analysis and improvement purposes. Such data will not include any personally identifiable information.

Future Me will only disclose your personal information under the following circumstances, without prior notice:

• (a) To comply with legal requirements or respond to lawful requests.
• (b) To protect and defend the rights or property of FIL Inc. and the app.
• (c) To act in urgent circumstances to safeguard the personal safety of app users or the general public.

8. Disclaimer of Warranties / Exclusion of Liability

YOUR USE OF THE FUTURE ME APP IS AT YOUR OWN RISK. THE APP AND ALL SOFTWARE, SERVICES, AND CONTENT MADE AVAILABLE THROUGH THE APP ARE PROVIDED "AS IS," WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, TITLE, OR FITNESS FOR A PARTICULAR PURPOSE.

Please note that certain jurisdictions may not permit the exclusion of implied warranties, so some of the exclusions listed here may not apply to you.

FIL Inc. does not guarantee or warrant that:

• The app, any software, services, or user-provided content will not infringe or interfere with the rights of any third party.
• The app or its content will be completely secure, uninterrupted, or error-free.
• Defects will be corrected, or that the app or the servers hosting it are free of viruses or other harmful components.

FIL Inc. shall not be liable for:

• Any use of the app, including any content, errors, or omissions contained therein.
• Content provided by third parties, including content that infringes upon the rights of others.
• Links to third-party websites or other materials related to the app.

In no event will FIL Inc. be liable under any legal theory, including tort, contract, strict liability, or otherwise, for any and all damages, whether direct, indirect, incidental, special, consequential, exemplary, or punitive, including, but not limited to:

• Attorney's fees, costs, lost profits, lost data, lost opportunities, or personal injury.

YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE APP IS TO DISCONTINUE USING IT.

Please note that some jurisdictions may not allow certain limitations on damages, so some of the above exclusions may not apply to you.

9. Indemnity

By using the Future Me App, you agree to defend, indemnify, and hold harmless FIL Inc., its affiliates, officers, directors, employees, partners, representatives, and agents (collectively, the "Released Parties") from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from:

1. Your breach of these Terms of Use.
2. Content or submissions provided by you that may infringe upon intellectual property rights, privacy rights, publicity rights, or defame any third party.
3. Your use of any features or content available on or through the app, except claims directly caused by materials created by FIL Inc..
4. Violations of applicable laws or agreements by you.
5. Any other issues related to your use of the app.

You agree to cooperate with us in defending any claims and understand that we reserve the right to assume the exclusive defense of such claims at your expense.

10. Governing Law and Jurisdiction

All matters related to the Future Me App and these Terms of Use are governed by the laws of Japan. Any disputes arising from or related to the app will be resolved exclusively in the competent courts of Japan.

11. Severability

If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable under applicable law, the invalidity or unenforceability of that provision will not affect the validity of the remaining provisions, which will remain in full force and effect.

12. Waiver and Remedies

Our failure to exercise any right or enforce any provision under these Terms of Use shall not constitute a waiver of that right or provision. Any waiver of a breach of these Terms shall not constitute a waiver of any subsequent breach. All remedies under these Terms of Use are cumulative and not exclusive of any other remedies available under applicable law.
